1. Introduction

Massify Online (“Massify,” “we,” “our,” or “us”) is a company registered in Italy under P.IVA 02930880998, with its legal entity registered at Via Palestro 15/9 - 16122 Genova. We provide performance-driven marketing solutions for early-stage founders and startups.

By engaging with Massify, you (“Client,” “you,” or “your”) agree to these Terms of Service, which define the scope of partnership, responsibilities, and payment conditions.

Our model is not a traditional agency service. We partner with you on a shared-growth journey, where your success drives our success.

 
2. Scope of Services
Massify provides the following services:

Business Diagnostics
An initial assessment of marketing foundations, readiness, and opportunities. This stage provides an indicative estimate of the Activation Fee, calculated from the information supplied by the Client. The accuracy of this estimate depends on the accuracy and completeness of the information provided. If inputs are incomplete, inaccurate, or materially change, Massify reserves the right to adjust the Activation Fee accordingly. The final Activation Fee will be confirmed during the initial strategy session.

Marketing Audit
A comprehensive review of the Client’s existing marketing systems, campaigns, and performance. The Audit identifies gaps, inefficiencies, and opportunities to strengthen foundations before activation and growth.

Activation Services
A one-time setup fee tailored to the Client’s business stage, covering growth infrastructure, campaign readiness, and strategic clarity.

Performance Marketing Services
Ongoing execution and optimization of marketing activities through Massify’s handpicked performance marketers, compensated based on impact generated (revenue growth, conversions, or agreed milestones).

Strategic Advisory
CMO-level guidance, diagnostics, and performance reviews, ensuring continuous alignment between business objectives and marketing execution

 
3. Engagement Model

Activation Fee:

  • A one-time investment tailored to your readiness score and business needs.
  • The Business Diagnosis provides only an indicative estimate, contingent upon accurate Client inputs. The exact fee will be confirmed in the initial strategy session.
  • Covers setup of strategy, basic technology, and foundational marketing systems.
  • Non-refundable, as it involves immediate resourcing and implementation.
  • Activation delivery is expected within 6–8 weeks, depending on complexity and client engagement.

Performance-Based Fee:

Following Activation, Massify is compensated based on measurable outcomes directly attributable to its marketing efforts:

  • Revenue-Generating Businesses: Massify earns 25% of incremental revenue uplift above the agreed baseline.
  • Pre-Revenue Businesses: The baseline is set at $0; Massify earns 25% of attributable revenue generated post-Activation.
  • Qualified Lead Models (B2B/Long-Cycle Sales): Where revenue realization extends beyond 6 months, Massify may earn 25% of the agreed value per qualified lead that meets pre-defined qualification criteria.
  • Retention Revenue: Massify earns 25% of incremental repeat purchase or subscription revenue attributable to customers acquired through Massify-led campaigns.

If Massify does not perform above the agreed baseline, no performance fee is owed.

KPIs and success metrics including definitions of “incremental revenue,” “qualified lead,” and “attributable conversions” will be agreed in writing before execution.

Minimum Engagement:

  • The Client agrees to a minimum engagement period of 6 months to allow sufficient time for Activation and performance-based execution.
  • During this 6-month period, both Activation and performance-based services are included.
  • After the 6-month period, the Client may extend the agreement or terminate in accordance with Clause 6.

Budget Accountability:

  • Marketing budgets (ad spend, tools, creative costs) remain Client-owned.
  • Massify manages and optimizes these budgets as if they were its own, with accountability for efficiency and ROI.
  • All third-party costs (ads, software, subscriptions, etc.) are paid directly by the Client.


4. Client Responsibilities
To ensure the partnership is effective, the Client agrees to:

  • Provide timely access to necessary business, product, and platform data.
  • Maintain payment of budgets and third-party expenses.
  • Commit to transparent communication and collaboration with assigned Massify Marketers.
  • Respect intellectual property and usage rights of all creative and strategic outputs.
     
    5. Massify Responsibilities
    Massify commits to:
  • Delivering strategies and execution aligned with agreed objectives.
  • Assigning qualified marketers who specialize in relevant channels and be accountable for their performance.
  • Treating your investment as our own, optimizing continuously for ROI.
    Maintaining confidentiality and data protection of all business information.
     
    6. Term & Termination
  • Term: Engagement begins upon signing and payment of the Activation Fee.
  • Termination by Client: Client may terminate with 30 days’ written notice. Performance fees accrued to date remain payable.
  • Termination by Massify: Massify may terminate if client fails to provide required resources, misrepresents data, or defaults on budget payments.
  • Mutual Exit Clause: If after 6 months measurable traction is not feasible, both parties may exit without penalty beyond services rendered.
     
    7. Performance Metrics & Reporting
  • Metrics will be agreed upon in writing before campaigns begin (e.g., revenue growth %, CAC:LTV ratio, leads, sales, retention).

Performance reports will be provided bi-weekly or monthly.

 
8. Payment Terms

  • Activation Fee: The Activation Fee is required to fund project setup, including strategy, systems, creatives, and team curation. Payment is due as follows:
    • 70% upfront upon agreement and prior to commencement of services
    • 30% upon execution of the first campaign
  • Performance Fee: Payable monthly, based on verified outcomes attributable to Massify (e.g., incremental revenue uplift, qualified leads, conversions, or retention revenue).
  • Performance Fee invoices are due within 14 days of issue.
  • Currency & Taxes: All payments are invoiced in USD and subject to applicable taxes.
  • Payment Method: Payments must be made via credit or debit card through Massify’s secure payment system, unless otherwise agreed in writing.
  • Late Payments: Payments more than 14 days overdue may result in suspension of services until accounts are settled. 

9. Confidentiality & Data Protection

  • Both parties agree to maintain confidentiality of sensitive business and customer information.
  • Massify will comply with applicable data protection laws (e.g., GDPR).
  • Client data will not be shared with third parties without consent.
     
    10. Intellectual Property
  • Strategies, frameworks, and methodologies remain the property of Massify.
  • Creative assets produced under Client budgets belong to Client, unless otherwise agreed.
  • Marketers retain portfolio rights to showcase anonymized results (with Client consent).
     
    11. Liability & Disclaimer
  • Massify provides services based on best practices and expertise but does not guarantee outcomes beyond agreed performance-based terms.
  • Client remains responsible for product quality, pricing, and market fit, which are outside Massify’s control.
     
    12. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of Italy and, where applicable, the laws of the European Union

13. Entire Agreement

These Terms constitute the full understanding between Massify and Client, superseding any prior discussions or proposals.
